Amoco Oil Co. v. Torcomian
Citation:
722 F.2d 1099 (1983)Facts
Amoco Oil Company was the primary lessor of Parkside Amoco service station in Pennsylvania. In 1981, Vaughn Hoplamazian operated the station as a tenant at will and employed John Torcomian as manager, with John’s father Albert sometimes assisting. When Hoplamazian wished to abandon his interest, John Torcomian sought to become an official Amoco dealer. Amoco representatives Ralph Arata and Robert Plocki delivered unsigned franchise contracts to John for consideration. The Torcomians testified that Arata told them John was “a dealer until 1984” and had authority to approve dealers. However, Amoco later determined John was unsuitable because he failed to attend Dealer Development School and allegedly lied to personnel. Amoco demanded the Torcomians vacate, but they refused, continuing to operate an automobile repair business on the premises using Amoco’s trademarks.
