Dwight Davis (plaintiff) negotiated the purchase of a mobile-home park from Gayle Satrom and D.C. Blair (defendants). Davis sent a letter of intent to real estate agent David Wisdom, which set out various terms and conditions for the sale. Blair changed some of the terms included in the letter and sent it back to Davis. Davis then submitted a purchase agreement, which included additional terms. Blair included several additional conditions in the agreement, including making the agreement subject to the approval of Satrom and Blair’s attorney. Satrom and Blair’s attorney did not approve the agreement, and they notified Davis they did not intend to close the transaction. Davis sued Satrom and Blair for specific performance or damages. The trial court entered summary judgment in favor of Satrom and Blair, and dismissed the complaint. Davis appealed.
